Terms of Service

1. Agreement

By accessing or using the Taxably platform, including the Taxably web application at taxably.ai and the Taxably Sync desktop agent (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Taxably provides AI-powered document classification and organization middleware for tax professionals. The Service consists of a web dashboard for management and review, and a desktop agent (Taxably Sync) that runs on your Windows workstation to monitor, classify, and organize tax documents within your existing folder structure.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

You must provide accurate and complete information when creating your account. You must be at least 18 years old and a legal resident of the United States or authorized to conduct business in the United States.

4. Acceptable Use

You agree to use the Service only for lawful purposes related to tax preparation, accounting, or legal work. You may not use the Service to process documents that you do not have authorization to access, or for any purpose that violates applicable law or regulation.

You agree not to reverse engineer, decompile, or disassemble the Taxably Sync agent, or attempt to gain unauthorized access to our systems or other users' accounts.

5. Pricing & Payment

The Service is offered at $200 per month per firm, billed monthly. This includes unlimited clients, unlimited users, unlimited documents, and unlimited linked devices. Pricing is subject to change with 30 days' notice.

During the beta period, the Service is provided at no cost. When paid pricing begins, you will be notified at least 30 days in advance and given the option to subscribe or discontinue use.

Payments are processed by Stripe. You authorize us to charge your payment method on a recurring monthly basis. You may cancel your subscription at any time from your dashboard, effective at the end of the current billing period.

6. Data Ownership

You retain all ownership of your data, including client documents, classification results, and audit logs. Taxably does not claim any ownership interest in your content.

You grant Taxably a limited license to process redacted document metadata solely for the purpose of providing classification services. This license terminates when you delete your account.

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service is provided “as is” during the beta period. We reserve the right to perform maintenance, updates, and modifications to the Service with reasonable notice when possible.

8. Limitation of Liability

Taxably provides AI-powered document classification as a productivity tool. Classifications are not guaranteed to be accurate and should be reviewed by qualified professionals. Taxably is not responsible for errors in document classification, filing, or organization.

To the maximum extent permitted by law, Taxably's total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Termination

You may terminate your account at any time from your dashboard. Upon termination, your data will be deleted in accordance with our Privacy Policy.

We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees, or if we reasonably believe your use poses a security risk.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Delaware.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email and posted on this page at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
